1. Acceptance of Terms

Welcome to Cyber Garage Tech Xchange. By accessing or using our mobile application, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Cyber Garage Tech Xchange is a platform that connects independent contractor technicians specializing in PDR (Paintless Dent Repair), hail repair, and collision estimating with repair facilities across the United States and Canada.

The Service provides tools for technicians to manage their profiles, availability, credentials, and job assignments. We facilitate connections but do not employ technicians or guarantee job placements.

3. User Accounts

Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements.

4. Independent Contractor Status

Technicians using the Service are independent contractors (1099 contractors), not employees of Cyber Garage Tech Xchange or any repair facility connected through the Service.

• You are responsible for your own taxes, insurance, and business expenses
• You control your own schedule and availability
• You may accept or decline job invitations at your discretion
• You are responsible for maintaining required licenses and certifications
• You must carry appropriate liability insurance for your work

5. Subscription Plans

Free Tier

Basic access to the Service with limited features as described on our pricing page.

Pro Subscription

Enhanced features and priority placement for a monthly or annual fee. Subscription fees are billed in advance and are non-refundable except as required by law.

Cancellation

You may cancel your subscription at any time. Access to Pro features will continue until the end of your current billing period.

6. User Conduct

You agree not to:

• Provide false or misleading information about your qualifications or credentials
• Use the Service for any unlawful purpose
• Harass, abuse, or harm other users or repair facilities
• Attempt to circumvent the Service to avoid fees or engage directly with facilities met through the platform
• Upload malicious code or interfere with the Service's operation
• Scrape, copy, or reproduce the Service's content without permission
• Impersonate another person or entity
• Share your account credentials with others

7. Documents and Content

You retain ownership of documents and content you upload to the Service. By uploading content, you grant us a limited license to store, display, and share your content as necessary to provide the Service.

You represent that you have the right to upload all content and that your content does not violate any laws or third-party rights. We may remove content that violates these Terms.

8. Job Assignments and Payments

The Service facilitates connections between technicians and repair facilities. Payment terms, rates, and arrangements are between you and the facility or management company.

Cyber Garage Tech Xchange is not responsible for payment disputes, job performance issues, or any agreements made between technicians and facilities outside of our platform.

9. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Cyber Garage Tech Xchange and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

"Cyber Garage Tech Xchange," our logo, and related marks are trademarks of Cyber Garage Tech Xchange.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT GUARANTEE JOB PLACEMENTS, INCOME LEVELS, OR THE QUALITY OF REPAIR FACILITIES OR TECHNICIANS ON THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBER GARAGE TECH XCHANGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Cyber Garage Tech Xchange, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your work performed for repair facilities

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where Cyber Garage Tech Xchange is headquartered.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
